Partnership Contract
This Partnership Agreement (“Agreement”) is made and entered into by and between Miracle Seriki Digitals Limited (RC 1913799), located at [Business Address], hereinafter referred to as “Company,” and the Partner, as agreed upon via online acceptance.
1. Purpose
The purpose of this Agreement is to establish a mutually beneficial partnership where the Partner will promote and refer clients to the Company, and in return, the Partner will receive a commission based on successful business deals.
2. Company Obligations
- The Company agrees to provide promotional materials (flyers, posters, etc.) to be displayed at the Partner’s office or shop.
- The Company will manage all referred clients and track business deals resulting from the Partner’s referrals.
- Upon successful completion of a business deal, the Company will pay the Partner 10% commission of the total deal value.
3. Partner Obligations
- The Partner agrees to display the Company’s promotional materials in visible areas of their business premises.
- The Partner will refer interested clients to the Company by providing the client’s name and contact information to the Company. This information should be sent promptly to ensure proper tracking of the referral.
- The Partner will only claim referral commissions for clients whose details they have provided to the Company.
- The Partner shall not receive any payments on behalf of the Company. All transactions and payments must be handled directly between the Company and the client.
4. Referral Process
- For each referred client, the Partner must provide the following details:
- Client’s Full Name
- Client’s Contact Information (Phone or Email)
These details should be sent to the Company via email at [Email Address] or through an agreed communication channel.
5. Payment Terms
- The Company will pay the Partner 10% of the total business deal value for each successful referral.
- Payments will be made within 30 days of the completion of the business deal with the referred client.
- If a deal is unsuccessful or if the referral details are not provided in advance, the Partner will not be entitled to any commission.
6. Confidentiality
Both parties agree to maintain the confidentiality of sensitive information regarding clients, business deals, and proprietary materials exchanged as part of this partnership.
7. Termination of Partnership
- Non-Compliance: If the Partner fails to honor the terms and conditions outlined in this Agreement, the Company reserves the right to terminate the partnership with immediate effect.
- Termination by Notice: Either party may terminate the Agreement with 30 days’ written notice.
- In the event of termination due to non-compliance, the Partner will forfeit any unpaid commissions from pending business deals.
8. Dispute Resolution
In the event of any dispute arising out of or in connection with this Agreement, both parties agree to attempt to resolve the matter amicably. If resolution is not possible, disputes will be settled through arbitration in accordance with applicable laws.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
10. Agreement
By agreeing online, both parties consent to the terms and conditions set forth in this Agreement. A copy of this contract will be sent to the Partner for their records.
